Terms of Service
Please read these terms carefully before using Vinni.
1. Agreement to Terms
By accessing or using Vinni ("the Service," "Vinni," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of Vinni, including visitors to our marketing website at itsvinni.ai and registered users of the application at app.itsvinni.ai.
2. Description of Service
Vinni is a winery management platform that combines production tracking tools with an AI-powered assistant designed to help craft winemakers manage batches, monitor fermentation, track vessel usage, generate compliance reports, and analyze production costs.
The Service is provided as a software subscription. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
3. AI-Generated Content — Important Disclaimer
Vinni uses artificial intelligence to analyze your winemaking data and generate recommendations, alerts, and insights. AI-generated content is provided for informational and guidance purposes only. It must not be treated as definitive, accurate, or complete without independent verification by a qualified winemaking professional.
Artificial intelligence technology is evolving rapidly. AI models — including the ones that power Vinni — can produce outputs that are incorrect, outdated, incomplete, misleading, or inappropriate for your specific situation. The AI does not have access to your complete cellar environment, your specific grape chemistry, your local climate conditions, your equipment characteristics, or the full context of your winemaking operation.
What this means in practice
Any recommendation Vinni makes — including but not limited to fermentation intervention suggestions, sulfite addition guidance, racking timing, yeast rehydration advice, fining agent recommendations, or any other cellar action — is a starting point for your own research and professional judgment, not a directive to act.
- Do not add chemicals, nutrients, or any other substance to your wine based solely on an AI suggestion without first consulting appropriate reference materials and, where appropriate, a qualified enologist or winemaking consultant.
- Do not alter fermentation conditions — temperature, timing, pump-over frequency, or similar parameters — based solely on an AI suggestion without independent verification.
- Always confirm AI-generated calculations (such as addition rates, volume conversions, or yield estimates) against your own measurements and established industry references before acting on them.
- The winemaking process involves biological, chemical, and physical variables that an AI system cannot fully observe or predict. Your sensory evaluation, laboratory analysis, and professional experience must take precedence over AI guidance.
AI accuracy and improvement
We are continuously working to improve the accuracy and relevance of Vinni's AI features. However, we cannot guarantee that any AI output is error-free, and we make no representations about the reliability of AI-generated content for any particular winemaking decision. The field of AI is changing rapidly; what the system suggests today may be refined or corrected as the technology develops.
By using Vinni's AI features, you acknowledge that you have read and understood this disclaimer, and that you accept sole responsibility for any winemaking decisions you make based on information provided by the Service.
4. No Professional Advice
The information, recommendations, and outputs provided by Vinni — whether generated by AI or otherwise — do not constitute professional enological, legal, regulatory, financial, or agricultural advice. Vinni is a software tool, not a licensed winemaking consultant, attorney, accountant, or regulatory specialist.
For matters involving wine quality, food safety, TTB compliance, state licensing, labeling requirements, or significant financial decisions, you should consult a qualified professional with expertise in the relevant field.
5. Limitation of Liability
To the fullest extent permitted by applicable law, Vinni and its owners, operators, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:
- Loss of wine, spoiled batches, or damaged inventory resulting from any cellar action taken in reliance on AI-generated suggestions or any other content provided by the Service
- Financial loss arising from winemaking decisions informed by the Service
- Penalties, fines, or regulatory consequences arising from TTB or other compliance reports generated by or with the assistance of the Service
- Loss of business, revenue, or profits
- Loss or corruption of data
- Costs of procuring substitute goods or services
In jurisdictions that do not allow the exclusion of certain damages, our liability is limited to the maximum extent permitted by law. In all other cases, our total liability to you for any claim arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
6. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranty of any kind, express or implied. We specifically disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.
We do not warrant that the Service will meet your specific requirements, that AI-generated content will be accurate or suitable for your situation, or that the Service will be error-free or continuously available.
7. Your Responsibilities
By using Vinni, you agree to:
- Use the Service only for lawful purposes and in accordance with these Terms
- Independently verify all AI-generated suggestions before taking action in your cellar
- Maintain appropriate professional knowledge and judgment in your winemaking practice
- Keep your account credentials secure and notify us immediately of any unauthorized access
- Provide accurate information when creating batches, logging data, and generating compliance reports
- Comply with all applicable federal, state, and local laws governing the production, storage, and sale of wine
- Not use the Service to store or transmit any unlawful, harmful, or objectionable content
You are solely responsible for all actions taken in your winery and all winemaking decisions you make, regardless of whether those decisions were informed by information from the Service.
8. Your Winemaking Data
You retain ownership of all winemaking data you enter into Vinni, including batch records, fermentation readings, cost entries, and inventory information ("User Data").
By using the Service, you grant us a limited license to store, process, and use your User Data solely for the purpose of providing and improving the Service. We will not sell your User Data to third parties. Please see our Privacy Policy for full details on how we handle your data.
You are responsible for the accuracy of the data you enter. Vinni's reporting, AI analysis, and compliance outputs are only as reliable as the data you provide.
9. Regulatory and Compliance Data
Vinni can assist in compiling data for TTB Form 5120.17 and other compliance reports, but you are solely responsible for the accuracy, completeness, and timely submission of all federal and state regulatory filings. Vinni is not a licensed compliance service and does not submit filings on your behalf.
Always review generated compliance reports carefully against your own records before submission. If you identify discrepancies, correct them before filing. We recommend retaining copies of all submissions and supporting records independently of the Service.
We are not responsible for any regulatory penalties, fines, or consequences arising from inaccurate, incomplete, or untimely filings, whether or not data from Vinni was used in their preparation.
10. Subscriptions and Payment
Access to Vinni's full feature set requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select.
- All fees are non-refundable except where required by law or at our sole discretion
- We may change subscription pricing with at least 30 days' notice to active subscribers
- Your subscription will automatically renew at the end of each billing period unless cancelled before the renewal date
- You may cancel your subscription at any time; access continues until the end of the current billing period
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise inappropriate. You may terminate your account at any time by contacting us.
Upon termination, you may request an export of your User Data. We will honor reasonable data export requests within 30 days of account termination. After that period, we may delete your data in accordance with our data retention practices.
12. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes via email or a notice within the application. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the state in which Vinni operates, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the applicable courts, as determined by the governing jurisdiction.
